An act of the National Assembly to restrict corporate personhood and to define legal responsibility.
Provisions
No corporation shall be considered a person under the law
The CEO and board of directors shall be responsible for all illegal activities of a corporation
When a board or individual board members can demonstrate they were unaware of illegal activity of a corporation, such legal responsibility shall fall upon the CEO
In all questions of responsibility for illegal acts, the CEO shall be held ultimately responsible if no others can be identified
A valid defense to this section is if an employee acted outside of their responsibilities and thus committed an illegal act
If an employee acted upon orders of a superior, that superior shall be held accountable in lieu of the employee
